1. Definitions
“Client” means any individual or organisation engaging TeacherAndTask. “Services” cover tutoring, mentoring, consulting, project execution and deliverables. “Deliverables” include files, reports, code, or media produced for you. “Handover” is when deliverables or sessions are made accessible. “Agreement” collectively refers to these Terms and any proposal, invoice or statement of work we provide.
2. Scope of services
We deliver services described in written proposals, invoices or confirmed email scope. Services may include live or recorded lessons, curated study materials, bespoke assignments, code development, UI/UX audits, portfolio reviews and interview practice. Changes requested mid-engagement are accommodated through written change requests that may adjust timelines or pricing.
- Live sessions take place on Zoom, Google Meet or Microsoft Teams with recordings available upon request.
- Assignments and reports follow the referencing style and grading rubric you provide.
- Software projects include repository access, documentation and deployment guidance when specified.
3. Fees & payment
Rates are quoted in USD unless noted otherwise. Invoices are payable upfront or per milestone as agreed. Accepted payment modes include Razorpay, Stripe, bank transfer and UPI. Late payments accrue interest of 1.5% per month on the outstanding balance.
4. Client obligations
Provide accurate briefs, source material, login credentials (if relevant), deadlines and grading rubrics. Timely feedback keeps milestones on track. If approvals or data are delayed, delivery schedules will adjust accordingly.
- Review deliverables within 5 business days of receipt.
- Alert us to institutional honour code restrictions before work begins.
- Ensure all shared credentials are temporary or anonymised for security.
5. Intellectual property
Upon complete payment, you gain exclusive rights to final deliverables for academic or professional use. TeacherAndTask retains ownership of pre-existing materials, frameworks, internal tools, and know-how. Third-party libraries remain governed by their respective licences.
6. Confidentiality
Both parties agree to protect confidential information shared during the engagement. We sign NDAs on request and restrict access internally to essential team members. Confidentiality survives termination of the Agreement.
7. Cancellations & refunds
Detailed rules appear in our Refunds & Cancellation Policy. Highlights include:
- Full refunds for digital orders cancelled within 24 hours before production begins.
- Lessons cancelled at least 12 hours in advance receive full credit; within 12 hours they incur a 50% fee.
- No-shows for live lessons are non-refundable.
8. Delivery & logistics
Digital deliverables are shared via email, Google Drive, GitHub, Figma or similar platforms. Physical merchandise, if any, is handled under our Shipping Policy. Acceptance occurs when you confirm receipt or 48 hours after delivery unless issues are reported.
9. Limitation of liability
TeacherAndTask’s liability, whether in contract, tort or otherwise, is limited to the amount you paid for the specific service giving rise to the claim. We are not liable for consequential losses such as lost profits, academic penalties arising from misuse, or indirect damages.
10. Governing law & dispute resolution
These terms are governed by the laws of Bengaluru, Karnataka, India. Disputes shall be resolved amicably where possible; failing that, the courts of Bengaluru have exclusive jurisdiction.
11. Changes to these terms
We may update these Terms to reflect legal, operational or service changes. Updates become effective immediately upon posting, and the “Effective date” above will be revised. Continued use of our services indicates acceptance.
